3. Client Responsibilities

● Information and Access: The client agrees to provide all necessary information, access, and permissions required for Customer Acquire to perform the Services. This includes, but is not limited to, website access, social media accounts, analytics accounts, and any other relevant tools or platforms.

● Content: The client is responsible for the accuracy, completeness, and legality of any content provided to Customer Acquire for use in the Services.

● Timely Communication: The client agrees to respond promptly to requests for information, feedback, or approvals to ensure the timely delivery of Services.

4. Payment Terms

● Fees: The fees for our Services are outlined in the proposal or agreement provided to the client. All fees are non-refundable unless otherwise stated.

● Payment Schedule: Payments are due according to the schedule agreed upon in the proposal or agreement. Late payments may be subject to interest charges or suspension of Services.

● Expenses: Any additional expenses incurred by Customer Acquire on behalf of the client (e.g., ad spend, third-party tools) will be billed separately and must be paid by the client.

5. Intellectual Property

● Ownership: The client retains ownership of all intellectual property rights to any materials provided to Customer Acquire However, Customer Acquire retains the right to use such materials for the purpose of providing the Services.

● Licence: The client grantsCustomer Acquire a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display the client’s content as necessary to perform the Services.

6. Confidentiality

Both parties agree to keep all confidential information received from the other party confidential and not to use or disclose such information except as necessary to perform the Services or as required by law.

7. Term and Termination

● Term: These Terms remain in effect for the duration of the Services or until terminated by either party.

● Termination: Either party may terminate the agreement for any reason with [30] days’ written notice. [Your Digital Marketing Agency Name] may also terminate the agreement immediately if the client breaches these Terms.

● Effect of Termination: Upon termination, the client will pay for all Services rendered up to the termination date. Customer Acquire will return any of the client’s property in its possession and cease using the client’s materials.

To the maximum extent permitted by law,Customer Acquire  shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising out of or related to the Services.

9. Indemnification

The client agrees to indemnify and hold harmless Customer Acquire , its employees, and agents from any claims, damages, liabilities, and expenses arising from the client’s breach of these Terms or from the client’s use of the Services.

10. Governing Law
